Terms of Service

These Terms of Service (“Terms”) govern your use of the website located at anpnextgensolutions.com and any services provided by AnP NextGen Solutions(“we”, “our”, or “us”). By accessing this website or engaging our services, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, please do not use our website or services.

About Us

AnP NextGen Solutions is a global sourcing and private label consultancy registered and operating in India, with its principal place of business at Noida, Uttar Pradesh, India. We provide advisory, sourcing, quality inspection, and product development services to businesses worldwide.

We are not a manufacturer, freight forwarder, customs agent, or financial institution. We are a consulting and sourcing partner. Nothing in these Terms or our services constitutes legal, financial, or regulatory advice.

Services

Our services include, but are not limited to:

  • Sourcing strategy and country selection advisory
  • Factory identification, shortlisting, and vetting
  • Sample management and approval coordination
  • Pre-production, mid-production, and pre-shipment quality inspections
  • Private label product development and supplier relationship management
  • Backup supplier identification and supply chain resilience planning

The specific scope, deliverables, timeline, and fee for any engagement are agreed in a separate written agreement or Statement of Work (“SOW”) between AnP NextGen Solutions and the client. In the event of any conflict between these Terms and a signed SOW, the SOW prevails.

Enquiries and No Obligation

Submitting an enquiry through our website, contact form, email, or WhatsApp does not create a binding contract or obligation on either party. No engagement commences until a written agreement or SOW has been executed by both parties and any applicable deposit has been received.

Fees and Payment

  • All fees are agreed in writing before any engagement begins. We do not commence work without a signed agreement.
  • We charge fixed consulting fees based on project scope. We do not charge commissions or percentages of order value.
  • Payment terms are specified in the applicable SOW. Unless otherwise agreed, invoices are due within 14 days of issue.
  • Deposits, where applicable, are non-refundable once work on the agreed scope has commenced.
  • All fees are quoted exclusive of applicable taxes (including GST where applicable under Indian law).
  • Late payments may attract interest at the rate of 1.5% per month on the outstanding amount from the due date.

Client Responsibilities

To enable us to perform our services effectively, you agree to:

  • Provide accurate, complete, and timely information about your product, requirements, and business
  • Respond to requests for approvals, samples, or decisions within agreed timeframes
  • Ensure that your product requirements comply with applicable laws and regulations in your target market
  • Not share, reproduce, or distribute our deliverables, supplier shortlists, or sourcing strategies with third parties without our written consent
  • Inform us promptly of any material change to your project scope, budget, or timeline

Factory and Supplier Relationships

AnP NextGen Solutions acts as a sourcing advisor and facilitator. We identify, vet, and recommend factories and suppliers based on our assessment at the time of recommendation. We are not a party to any contract between you and a factory or supplier.

Once a factory relationship is established, the commercial contract is between you and the manufacturer directly. We are not liable for:

  • Factory performance, production capacity, or delivery timelines post-engagement
  • Changes in factory ownership, management, or quality standards after our recommendation
  • Force majeure events affecting production (natural disasters, strikes, regulatory shutdowns)
  • Tariff changes, import duties, or regulatory changes in any jurisdiction
  • The actions or omissions of third-party inspection agencies, freight forwarders, or customs brokers

Quality Inspections

Where we arrange or conduct quality inspections, our reports reflect the condition of goods at the time and place of inspection. A passed inspection does not guarantee that all goods in a batch are free from defect, nor does it constitute a warranty of merchantability or fitness for a particular purpose.

Inspection findings are advisory. The decision to accept, reject, or hold a shipment remains solely with the client. AnP NextGen Solutions is not liable for decisions made by clients following an inspection report.

Intellectual Property

All intellectual property in deliverables, reports, sourcing strategies, and documentation produced by AnP NextGen Solutions specifically for your engagement becomes your property upon full payment of the applicable fees.

All intellectual property in our website content, methodologies, templates, tools, and internal processes remains the exclusive property of AnP NextGen Solutions. You may not reproduce, distribute, or use this content commercially without our written consent.

You warrant that any product designs, specifications, trademarks, or materials you provide to us or to factories on your behalf do not infringe the intellectual property rights of any third party. You indemnify AnP NextGen Solutions against any claims arising from such infringement.

9.

Confidentiality

Both parties agree to keep confidential all non-public information shared during an engagement, including pricing, supplier identities, product specifications, and business strategies. This obligation survives termination of the engagement for a period of three (3) years.

We will not disclose your project details to third parties except as required to perform our services (e.g. sharing a product brief with a shortlisted factory under NDA) or as required by law.

Limitation of Liability

This section limits our liability. Please read it carefully.

To the fullest extent permitted by applicable law, AnP NextGen Solutions's total liability to you for any claim arising out of or in connection with our services — whether in contract, tort, or otherwise — is limited to the total fees paid by you to AnP NextGen Solutions in the three (3) months immediately preceding the event giving rise to the claim.

AnP NextGen Solutions is not liable for any:

  • Indirect, incidental, special, or consequential loss or damage
  • Loss of profit, revenue, business, contracts, or anticipated savings
  • Loss resulting from a factory's failure to perform, produce defective goods, or breach a contract
  • Losses arising from market changes, tariff changes, or geopolitical events
  • Loss of data or damage to systems arising from use of our website

Nothing in these Terms excludes or limits liability for fraud, death or personal injury caused by negligence, or any other liability that cannot be excluded by law.

11.

Indemnification

You agree to indemnify and hold harmless AnP NextGen Solutions, its founder, employees, and contractors from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from:

  • Your breach of these Terms or any applicable SOW
  • Your violation of any applicable law or regulation
  • Your infringement of any third-party intellectual property rights
  • Any misrepresentation made by you in connection with our services
12.

Termination

Either party may terminate an engagement by providing written notice as specified in the applicable SOW. Where no termination notice period is specified, 14 days' written notice is required.

Upon termination:

  • You remain liable for fees incurred for work completed up to the termination date
  • We will deliver any completed work product to you upon receipt of outstanding fees
  • Confidentiality, intellectual property, limitation of liability, and indemnification obligations survive termination

We reserve the right to suspend or terminate our services immediately, without liability, if we reasonably believe you are using our services for unlawful purposes, in violation of these Terms, or in a way that could harm our reputation or third parties.

Website Use

When using our website, you agree not to:

  • Use automated tools to scrape, crawl, or extract content
  • Attempt to gain unauthorised access to any part of the website or its underlying systems
  • Post or transmit any unlawful, harmful, or defamatory content
  • Use the website to impersonate any person or entity
  • Interfere with or disrupt the operation of the website

We make no warranty that the website will be available at all times, error-free, or free from viruses or harmful components. Access to the website is provided “as is”.

Disclaimer of Warranties

Our services are provided on a reasonable-efforts basis. We make no warranty, express or implied, that our sourcing recommendations will result in a successful product launch, profitable trade, or any specific business outcome.

Market conditions, factory capabilities, regulatory requirements, and supply chains change. Our recommendations are based on information available at the time of our assessment and should not be treated as guarantees of future performance.

15.

Governing Law and Disputes

These Terms are governed by and construed in accordance with the laws of the Republic of India. Any dispute arising out of or in connection with these Terms or our services shall first be subject to good-faith negotiation between the parties for a period of 30 days.

If the dispute cannot be resolved through negotiation, it shall be referred to arbitration in accordance with the Arbitration and Conciliation Act, 1996 (India). The seat of arbitration shall be Noida, Uttar Pradesh, India. The language of arbitration shall be English. The decision of the arbitrator(s) shall be final and binding.

For clients in the European Union or United Kingdom: nothing in this clause affects your statutory rights or prevents you from seeking relief from a court of competent jurisdiction in your home country in relation to a consumer matter.

16.

Changes to These Terms

We may update these Terms from time to time. The revised Terms will be posted on this page with an updated effective date. For active engagements under a signed SOW, changes to these Terms do not affect the terms of that SOW without mutual written agreement.

Continued use of the website or our services after changes are posted constitutes your acceptance of the revised Terms.
